Vopak confirms that it will hold its Annual General Meeting of Shareholders (AGM) on 21 April 2020. It is Vopak's duty of care to take care of the health of people during this event. To mitigate COVID-19 health risks and comply with Dutch governmental directives, Vopak today announces further guidance and necessary measures with respect to the AGM.
Venue change
The venue that was previously chosen for the location of the AGM will remain closed until 1 June 2020. For that reason, Vopak is changing the location of the meeting to its office address at Westerlaan 10, Rotterdam, The Netherlands.
For reasons of public health, including the health of our shareholders and our employees, we urge our shareholders to attend the AGM via webcast and strongly advise not to attend the meeting in person.
We require our shareholders to exercise their voting rights using the e-voting system (visit www.abnamro.com/evoting) as per the original convocation. In order to allow shareholders to follow the proceedings of the meeting in real-time, we will broadcast the proceedings live through a webcast. Vopak offers the opportunity to submit questions relating to the agenda items for the AGM in writing by email before Tuesday 14 April 2020. At registration, each shareholder will receive a link and password for the webcast. There will be no lunch or post-meeting reception or other social gatherings surrounding the meeting.
On behalf of the company, only a limited number of Board members will attend the meeting in person. Other members will participate via the webcast
If, in the opinion of the company or by governmental directive, a health or safety issue would arise in relation to the meeting, last-minute changes to logistics or venue including additional requirements or limitations in relation to the attendance in person, may be taken. The company will inform shareholders of any such changes.

Vopak bevestigt dat zij op 21 april 2020 haar jaarlijkse Algemene Vergadering van Aandeelhouders (AVA) zal houden. Het is de zorgplicht van Vopak om tijdens deze vergadering zorg te dragen voor de gezondheid. Om de gezondheidsrisico's van COVID-19 te beperken en te voldoen aan de Nederlandse richtlijnen, kondigt Vopak vandaag verdere begeleiding en noodzakelijke maatregelen aan met betrekking tot de AVA.
Locatie verandering
De locatie die eerder was gekozen voor de AVA, blijft gesloten tot 1 juni 2020. Daarom verandert Vopak de locatie van de bijeenkomst in haar kantooradres aan de Westerlaan 10 te Rotterdam.
Om redenen van volksgezondheid, waaronder de gezondheid van onze aandeelhouders en onze werknemers, dringen we er bij onze aandeelhouders op aan om de AVA via webcast bij te wonen en raden we ten sterkste aan de vergadering niet persoonlijk bij te wonen.
Vopak laat de aandeelhouders hun stemrecht uitoefenen met behulp van het e-voting systeem (bezoek www.abnamro.com/evoting) volgens de oorspronkelijke oproeping. Om aandeelhouders in staat te stellen de voortgang van de vergadering in realtime te volgen, zenden we de vergadering live uit via een webcast. Vopak biedt de mogelijkheid om voor dinsdag 14 april 2020 per e-mail vragen met betrekking tot de agendapunten voor de AVA schriftelijk in te dienen. Bij inschrijving ontvangt elke aandeelhouder een link en wachtwoord voor de webcast. Er is geen lunch of receptie na de vergadering of enige andere vorm van sociale bijeenkomsten rond de vergadering.
Namens de vennootschap zal slechts een beperkt aantal bestuurders persoonlijk de vergadering bijwonen. Andere leden nemen deel via de webcast.
Als er naar de mening van Vopak of door een overheidsrichtlijn een gezondheids- of veiligheidsprobleem zou ontstaan met betrekking tot de vergadering, kunnen er op het laatste moment wijzigingen worden aangebracht in de logistiek of locatie, inclusief aanvullende vereisten of beperkingen met betrekking tot het persoonlijk bijwonen. De vennootschap zal aandeelhouders informeren over dergelijke wijzigingen.
Vopak vertrouwt erop dat haar aandeelhouders, gezien de buitengewone omstandigheden, bovenstaande maatregelen zullen begrijpen. De onderneming blijft de situatie nauwlettend volgen en adviseert haar aandeelhouders om regelmatig de website van de onderneming www.vopak.com te raadplegen voor updates.
